SELLER'S NAME & ADDRESS: NINGBO MACHINERY CO., LTD., 115 Shanghai Road, Ningbo City 315510, P.R.China
This is to confirm our PURCHASE from you as Seller, and your SALE to us as Buyer, of the undermentioned Goods subject to all of the terms and conditions on the face and reverse side hereof, which are expressly agreed by you.

(1)Description of Goods: Parts for Marine Engine(HS: 8409.99)
(2)Quality: FC250/JIS
(3)Quantity: 100 pcs Net Weight: 20kgs/pce 2000kgs in total
(4)Price: \10,000-/pc CIF Kobe port, Japan in Japanese Yen Currency
(5)Total Amount: \1,000,000-/100pcs CIF Kobe port, Japan
(6)Payment: 50% of the Total Amount(\1,000,000-) as downpayment by T.T. at the time of this Order and the rest of 50% of the Total Amount(\1,000,000-) by T.T. after passing Buyer's Inspection at Buyer's premises after receiving the Goods
(7)Shipment & Discharge port: To be shipped within 30 days after the date of the downpayment stipulated below, per container vessel from Ningbo port, P.R.China to Kobe port, Japan.
　Transshipment is prohibited. Partial Shipment is allowed.
(8)Shipping Advice: As soon as the Shipment is finished, Seller shall send to Buyer by fax the Shipping Documents including Surrendered B/L, Invoice, Packing List, Insurance Policy and Certificate of Origin(Form A).
(9)Packing: Each to be packed in a Carton Box and 100 Boxes in a Wooden Case with IPPC mark stamps
(10)Insurance: To be covered for 110% of the CIF price against All Risks to Buyer's factory
(11)Inspection: After Buyer's receiving the Goods, the Goods shall be checked by Buyer at Buyer's premises; Buyer may accept only the Goods to be passed by Buyer's Inspection.
(12)Replacement for the Goods rejected by Buyer's Inspection: The replacements for the goods which have failed to pass the Buyer's Inspection shall be dispatched within 20 days after Buyer's request for them.
(13)Certificates:the following certificates are required:

(14)Shipping Marks: To be marked as follows:
　　　PBC in diamond
　　　Kobe Port, Japan
　　　C/# 1-up
　　　Made in China
(16)Shipping Samples: One piece to be sent by EMS before shipment.
