次の文章は、ある商品のサイズ＃５を100個注文した輸入契約書（Purchase Contract）の中の条文の一部です。この輸入契約書には、危険（Risk）の負担及び所有権（Title）の移転についての規定は別に設けられていません。これを読んで次の質問に答えて下さい。 ①Unit Price：\10,000- per piece ②Size & Quantity：Size #5 × 100 pieces ③Trade terms：EXW Seller's warehouse ④Buyer shall take delivery of the Goods at Seller's warehouse. ⑤The formation, validity, construction and performance of this Contract shall be governed by and construed in accordance with the law of Japan.. ⑥Trade terms used in this Contract shall have the meanings defined and interpreted by the Incoterms 2000 Edition, ICC Publication No.560, as amended, unless otherwise specifically provided in this Contract. 質問： (a)売主の倉庫にて、その輸出貨物に買主宛ての荷印が貼られ、梱包が完了した旨買主に通知した後、買主が取りに来る前に、その商品が売主の責に因らないで滅失した場合の危険負担について、 その危険は売主の負担になるか、買主の負担になるか答えて下さい。簡単な根拠も合わせて説明を加えて下さい。 (b)もし、上の条文の③と⑥の規定がなかった場合はどうでしょうか。 |
